BUILD Program Licensing Agreement

IMPORTANT: The following agreement (“agreement”) sets forth the terms and conditions under which the Black and Brown Opportunities for Profit (BBOP) Center or an affiliate licensor (“BBOP Business Academy”) is willing to (a) license the BBOP business academy “program” and accompanying “documentation” or (b) to provide the “instructional supporting materials” to “you” as an individual user.  By accepting this Agreement, you are entering into a binding legal contract with the BBOP Business Academy. The terms and conditions of the Agreement then apply to your use of the program and the instructional and related subscription services.

Background:

  1. The Licensor operates the BUILD program aimed at fostering entrepreneurship and economic empowerment within the Black and Brown communities.
  2. The Licensee obtains this license to learn and utilize the knowledge and contents of the BUILD program for their own entrepreneurship development.

Agreement:

  1. Grant of License: Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the BUILD program materials, methodologies, and resources solely for the purpose of learning and implementing the BUILD program within the scope of the Licensee’s entrepreneurship and career development.
  2. Scope of Use: Licensee agrees to use the BUILD program materials solely for the benefit of their membership and not for any commercial purposes without prior written consent from Licensor.
  3. Intellectual Property Rights: Licensor retains all ownership rights, title, and interest in and to the BUILD program, including all related intellectual property rights. Licensee agrees not to infringe upon or challenge Licensor’s rights in the BUILD program.
  4. Confidentiality: Licensee agrees to keep all confidential information received from Licensor regarding the BUILD program confidential and to use such information solely for the purposes outlined in this Agreement.
  5. Compliance: Licensee agrees to comply with all applicable laws and regulations in the implementation and conduct of the BUILD program, including but not limited to laws related to intellectual property, data protection, and anti-discrimination.
  6. Term and Termination: This Agreement shall commence on the Effective Date and shall continue for a period of ten (10) years, unless terminated earlier in accordance with the provisions herein. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 30 days.
  7. Indemnification: Licensee agrees to indemnify, defend, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to Licensee’s use or misuse of the BUILD program.
  8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
  9. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
